Accepted Proposal: Terms and Conditions
By choosing to work with J.T. Robinette, LLC, d.b.a Art Handler Network, you agree to the following terms and conditions.
Collections Care Services Proposal
By this Proposal for Collections Care Services (“Agreed Proposal”), J.T. Robinette, LLC, also known as JT Robinette Art & Artifacts Collections Management (“JT Robinette”), d.b.a. Art Handler Network, proposes the collections care services and protocols (“Collections Care Services”) set forth below for the Client. Client’s acceptance of the terms and conditions of this Proposal is indicated in Section IV below and is reflected by Client’s signature below.
I. Objective
JT Robinette, d.b.a. Art Handler Network, will provide services requested by the client and specified in the submitted estimate or in writing .
II. Scope of Work
JT Robinette agrees to complete the stated objective through the tasks detailed in the submitted estimate.
If required, JT Robinette will solicit and/or generate proposals for the Client’s review for any work that falls outside of their own capabilities or availability, as discussed in Section VII. below.
III. Rates
JT Robinette charges an 8-hour minimum per day for on-site work and hourly after 8 hours or for remote work. Time worked after 10 hours will be charged at 1.5 times the quoted rate and time worked after 12 hours will be charged at double the hourly rate. Other overtime rates vary according to the laws of the state.
JT Robinette charges hourly, billed every 15 minutes, for work over 8 hours on site or for remote work.
This is an estimate only. Final charges may vary based on actual work realized.
JT Robinette will invoice the Client at the end of the project. Invoices must be paid within fourteen (14) days from the date of the Invoice for payment. A late fee of 5% of the total due will apply to invoices that remain unpaid after thirty (30) days. Client may pay by wire transfer, ACH payment, or Zelle.
For projects over $5,000, a 50% deposit is required or a credit card must be placed on file.
In the event of cancellation, Client agrees to pay 50% of project estimate if canceled within 48 hours of the start date and 95% of the estimate if canceled within 24 hours of the start date.
IV. Expenses
For all other expenses incurred by JT Robinette for work performed under this Proposal, whether by JT Robinette or by a Contractor, JT Robinette will seek the agreement of the Client prior to incurring the expense, when reasonable to do so in the professional opinion of JT Robinette. Such expenses will be submitted to the Client for reimbursement through the invoice.
V. Non-Disclosure Agreement & Insurance
JT Robinette agrees to keep Client’s private information confidential, except as reasonably necessary to carry out the objectives of this Proposal, such as when engaging Vendors to perform services that require knowledge of confidential information.
JT Robinette understands that the Client may wish for JT Robinette to execute a non-disclosure agreement (“NDA”). JT Robinette will review all such requests and any proposed NDA and, when reasonable to do so within JT Robinette’s discretion, will comply with such request.
JT Robinette maintains general liability, inland marine, and worker's compensation insurance policies to cover their activities executed by employees. All subcontractors maintain general liability policies.
VI. Remote Work Procedures
If required, JT Robinette will maintain all documents it generates in a private cloud storage archive (“Cloud”) like Dropbox, Google Drive, or Box, which will provide easy, secure access to the invited individuals for review or editing.
Lastly, JT Robinette will execute all remote work under VPN protection further reassuring the Client and protecting their data from breaches.
Client agrees to utilize this system or provide their own propriety system.
VII. Contractors & Vendors
JT Robinette will perform the scope of work outlined in this proposal with the use of qualified, screened professionals. In some cases these professionals are independent contractors (“Contractors”) selected for their specific expertise in relation to the required services. All professionals work with and under the direct supervision of JT Robinette.
If required, we will coordinate, facilitate, and supervise any provision work to be performed beyond the capabilities of our professionals such as transportation, framing, or conservation by qualified, third-party vendors (“Vendors”). JT Robinette will screen Vendors, obtain proposals for their services, and submit their proposals to the Client in order for them to choose and approve its Vendor and services.
Should JT Robinette contract any Vendor engaged to perform work under this Proposal and pay the invoices of the Vendor if requested by the Client. If this is the case, JT Robinette will include its payments to Vendors, plus an additional [10.0%] service fee, in its requests for expense reimbursements or in its invoices.
VIII. AGREED TERMS AND PROVISIONS
Client and JT Robinette (collectively, the “Parties”) agree to the following terms and provisions by accepting this estimate.
IX. Collections Care Services Agreement:
This Proposal is made subject to, and incorporates fully within as though it is part of this written form, that certain Collections Care Services Agreement between the Parties. By execution of this Proposal, herein also referred to as the “Agreed Proposal,” as that term is used in the Collections Care Services Agreement, the Parties agree that they continue to be bound by the terms of the Collections Care Services Agreement.
X. Basis of fee to be charged for services
The Parties agree that fees for work performed by JT Robinette, d.b.a. Art Handler Network, will be invoiced at the rates specified in the submitted estimate.
XI. Amendments:
This Agreed Proposal and the rights and obligations hereunder may be amended or modified only by a written amendment to this Agreed Proposal that is signed by both Parties.
